Terms of Service
1. Agreement to Terms
By accessing or using Sanaol products, websites, APIs, mobile/desktop applications, and related services (the “Service”), you agree to these Terms of Service (the “Terms”). If you do not agree, do not access or use the Service.
2. Who We Are
“Sanaol”, “we”, “us” and “our” refer to the organization that operates the Service. Contact details appear in Section 27.
3. Eligibility
- You are at least the age of majority in your jurisdiction.
- You have authority to accept these Terms on behalf of yourself and (if applicable) your organization.
- You are not barred from using the Service under any applicable law.
4. Accounts & Security
- You must provide accurate information and keep it current. Passwords are stored as hashes; never share your credentials.
- You are responsible for activities under your account. Notify us immediately of unauthorized use or suspected compromise.
- We may require multi-factor authentication and other security controls.
5. Acceptable Use
When using the Service, you agree that you will not:
- Violate laws, regulations, or third-party rights.
- Upload or transmit malware, phishing, or content that is unlawful, defamatory, hateful, harassing, or otherwise harmful.
- Attempt to bypass security, probe infrastructure, or perform load testing without written permission.
- Scrape, mine, or harvest data except as allowed by published APIs and fair use.
- Misrepresent your identity, impersonate others, or mislabel on-chain metadata to deceive users.
- Send spam or abuse network, compute, or storage resources.
6. Service Description
The Service includes transparency tools (e.g., explorers, dashboards), indexing of publicly available on-chain data, and related features. We may add, change, or remove features at any time.
7. On-Chain Activity & Risks
- Blockchain transactions are typically irreversible and publicly visible.
- You are solely responsible for addresses, amounts, memos, and program parameters you submit.
- Network fees, congestion, forks, reorgs, and protocol changes are outside our control and may impact availability and data.
- Do not include personal data in transaction memos if you do not intend for it to be public and permanent.
8. Third-Party Services
The Service may link to or integrate third-party sites, wallets, nodes, or data providers. We are not responsible for their content, availability, or privacy/security practices. Your use of third-party services is governed by their terms.
9. Plans, Payments & Taxes
If paid features are offered, pricing and terms will be presented in the interface or order form. You authorize us to charge your selected payment method for recurring fees (if applicable). You are responsible for any taxes, duties, or government charges, excluding taxes based on our income.
10. Trials, Beta & Pre-release
Features labeled “beta”, “preview”, or similar are provided for evaluation, may be unstable or incomplete, and may change or be discontinued at any time. They are provided “as is” without warranties and may be subject to additional usage limits.
11. Intellectual Property
- The Service, including software, designs, and content, is owned by Sanaol or its licensors and protected by law.
- Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service.
- You may submit feedback. We may use feedback without restriction or obligation to you.
12. User Content & Licenses
If you upload or submit content to the Service, you grant us a worldwide, royalty-free license to host, reproduce, and display that content as needed to operate and improve the Service. You represent that you have all rights necessary to grant this license and that your content complies with law.
13. Open Source Components
The Service may include open-source software. Use of such components is governed by their respective licenses. In the event of conflict, the open-source license controls for that component.
14. Privacy
Our Privacy Policy explains how we collect, use, and share information. By using the Service, you consent to our data practices as described there.
15. Security
We implement technical and organizational measures intended to protect the Service. No system is 100% secure. You must implement appropriate security controls for your environment (e.g., strong passwords, 2FA, key backups).
16. Availability & Changes
We aim for high availability but do not guarantee uninterrupted operation. We may modify, suspend, or discontinue the Service or any feature without liability. We may impose limits on usage, storage, or API calls.
17. Compliance
- You will comply with applicable laws, including anti-money laundering (AML), counter-terrorist financing (CTF), anti-corruption, and sanctions.
- You represent you are not located in, organized under the laws of, or ordinarily resident in any jurisdiction embargoed or sanctioned by relevant authorities.
- Export laws may apply to your use of the Service and content accessed via the Service.
18. Suspension & Termination
We may suspend or terminate access (with or without notice) for suspected violations of these Terms, legal risk, fraud, non-payment, or to protect the Service or users. You may stop using the Service at any time.
19. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT RESULTS WILL BE ACCURATE OR RELIABLE.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SANAOL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR COSTS OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE EXTENT NOT PROHIBITED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE 3 MONTHS PRECEDING THE CLAIM, OR (B) USD 100.
21. Indemnification
You will defend, indemnify, and hold harmless Sanaol and its affiliates, officers, directors, employees, and agents from and against claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your content, or your breach of these Terms.
22. Force Majeure
We shall not be liable for delays or failures caused by events beyond our reasonable control, including acts of God, natural disasters, labor disputes, disruptions of networks or utilities, or actions of governments.
23. Governing Law & Venue
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction and venue of the courts located in Metro Manila, Philippines, for disputes not subject to arbitration (if any).
24. Dispute Resolution
Before filing a claim, you agree to attempt to resolve the dispute informally by contacting us (Section 27). If unresolved after 30 days, the parties may pursue available remedies. Nothing prevents a party from seeking injunctive relief to protect its rights pending resolution.
25. Changes to These Terms
We may modify these Terms by posting an updated version with a new “Last updated” date. Material changes may be announced via in-product notice or email. Your continued use of the Service after changes take effect constitutes acceptance.
26. Miscellaneous
- Entire Agreement. These Terms and any referenced policies are the entire agreement between you and us regarding the Service.
- Severability. If any provision is unenforceable, the rest remain in effect.
- No Waiver. A failure to enforce a provision is not a waiver.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Headings. Headings are for convenience only and do not affect interpretation.
